Private Placement Successfully Placed

Green Transition Holding AS (‘GTH’ or the ‘Company’) is pleased to announce that a Private Placement (the ‘Private Placement’) has been successfully placed, through an allocation of 1.247.000 of new shares in the Company (the ‘Offer Shares’) at a subscription price of NOK 25 per Offer Share, for gross proceeds of NOK 31 million.

Pareto Securities AS have acted as advisor in connection with the Private Placement.

The net proceeds from the Private Placement will be applied used for investments in sales & marketing, working capital and equity in new projects, as well as for general corporate purposes.

Following registration of the share capital increase pertaining to the Private Placement with the Norwegian Register of Business Enterprises, the Company will have a registered share capital of NOK 140.018,27 divided into 14.001.827 shares, each with a nominal value of NOK 0,01. The market capitalization of GTH following the Private Placement will be approximately NOK 350 million at the subscription price.

Varme Energy Inc., a subsidiary of GTH, has signed a waste agreement with the City of Edmonton. Scheduled to start by 2027, the initiative aims to divert 150,000 tonnes of residential waste from landfills each year. The project will see the construction of an advanced waste-to-energy facility in Edmonton, focused on sustainable waste management, energy generation and CCS.

OSLO – Dec 20, 2022 – Green Transition Holding (GTH) has signed an agreement to sell its 49% ownership Green Bio, a bio energy development and asset owning company. Green Bio was established in 2021 to develop a bio energy district heating platform in Norway. Following a year and a half of development, GTH has decided to divest its shareholding. Today Green Bio owns ten operating bio energy plants, with a yearly production of about 20 GWh, as well as one large greenfield project under development. “This has been a successful journey for GTH, developing the Green Bio platform and generating value for both GTH and the other shareholders over the last year and a half. We would like to thank Partner Energy for the partnership and wish them all the best for future growth.” says Paal Skoe, CEO GTH. GTH will use the proceeds from the transaction to further invest in the energy transition.
